TERMS OF SERVICE

Nova Creative Studio is a brand operated by Novapro Multi-Services LLC.

These Terms of Service, together with any policies expressly incorporated by reference, govern your access to and use of the Nova Creative Studio website, online store, products, services, content, and related features.

Throughout these Terms, “Nova Creative Studio,” “we,” “us,” and “our” refer to Novapro Multi-Services LLC, doing business through the Nova Creative Studio brand. “You,” “your,” and “customer” refer to any visitor, purchaser, account holder, or other user of the Site.

By accessing the Site, placing an order, creating an account, submitting information, or otherwise using our services, you agree to be bound by these Terms of Service.

If you do not agree to these Terms, you must not use the Site or purchase our products.

1. ELIGIBILITY

You must be at least the age of majority in your jurisdiction to place an order or create an account.

A minor may use the Site only under the supervision of a parent or legal guardian who accepts responsibility for the minor’s use of the Site and any resulting transaction.

By placing an order, you represent that:

• You have the legal capacity to enter into a binding agreement.
• The information you provide is truthful, current, and complete.
• You are authorized to use the selected payment method.
• Your purchase is for a lawful purpose.
• You will comply with these Terms and all applicable laws.

2. ONLINE STORE AND E-COMMERCE PLATFORM

The Nova Creative Studio online store is hosted using Shopify’s commerce platform. Shopify provides technical infrastructure that allows us to offer and sell products online.

Your purchase agreement is with Novapro Multi-Services LLC through the Nova Creative Studio brand, not with Shopify.

Payment processing, fraud screening, shipping, analytics, localization, and other functions may be performed by Shopify or other authorized service providers.

Your use of certain third-party services may also be governed by the terms and privacy practices of those service providers.

3. PRODUCTS

Nova Creative Studio offers wall art and related products, which may include:

• Canvas prints.
• Unframed posters.
• Framed posters.
• Enhanced matte posters.
• Premium luster posters.
• Other art, décor, and related products introduced in the future.

Product availability, materials, formats, finishes, dimensions, colors, frame options, and production methods may change without notice.

We reserve the right to:

• Add, modify, suspend, or discontinue a product.
• Limit the quantities available for purchase.
• Limit sales to particular persons, households, geographic areas, or jurisdictions.
• Correct errors in product descriptions, prices, specifications, images, or availability.
• Refuse or cancel an order as permitted under these Terms and applicable law.

4. PRODUCT DESCRIPTIONS AND IMAGES

We make reasonable efforts to describe and display our products accurately.

Product images, room scenes, lifestyle photographs, digital previews, and mockups may be used to demonstrate how artwork could appear in a particular environment. Mockups are illustrative and may not represent exact scale unless expressly stated.

The actual appearance of a product may vary because of:

• Monitor calibration.
• Screen brightness and display settings.
• Lighting conditions.
• Printing processes.
• Product materials.
• Surface texture.
• Frame construction.
• Cropping and positioning.
• Manufacturing tolerances.
• Production batches.

Minor differences in color, texture, cropping, positioning, dimensions, frame appearance, or print placement are not necessarily defects.

Customers are responsible for reviewing all product descriptions, dimensions, materials, format options, and product images before ordering.

A product that is materially different from its description may be reviewed under our Return and Refund Policy.

5. MADE-TO-ORDER PRODUCTS AND FINAL SALES

Nova Creative Studio products are generally produced specifically after an order is placed.

Because the products are made to order, all sales are final, except for approved claims involving damage, confirmed defects, incorrect products, material misrepresentation, or circumstances in which applicable law requires another remedy.

We do not accept returns or exchanges for:

• Changes of mind.
• Buyer’s remorse.
• Personal preference.
• Incorrect size, format, frame, color, or quantity selected by the customer.
• Failure to review the product dimensions or description.
• A product not matching the customer’s décor or subjective expectations.
• Minor variations inherent to printing, framing, materials, cropping, or production.
• Other non-defect reasons described in our Return and Refund Policy.

Our Return and Refund Policy is incorporated into these Terms by reference.

6. ORDERS

Submitting an order does not guarantee acceptance.

An order is considered accepted when we confirm it, process payment, or send it to production, subject to any right of cancellation provided by applicable law.

We may review, place on hold, refuse, or cancel an order when reasonably necessary because of:

• Suspected fraud or unauthorized payment.
• Incorrect or incomplete customer information.
• Pricing, listing, or inventory errors.
• Product or material unavailability.
• Production limitations.
• Geographic or shipping restrictions.
• Violation of these Terms.
• Legal or regulatory requirements.
• Abusive, fraudulent, or suspicious purchasing activity.
• Circumstances outside our reasonable control.

When we cancel a paid order before fulfillment, we will issue the appropriate refund to the original payment method, subject to applicable law.

We may limit or cancel quantities that appear to be placed by dealers, resellers, distributors, automated systems, or other unauthorized commercial purchasers.

7. ORDER CHANGES AND CANCELLATIONS

Orders may enter production shortly after they are submitted.

Cancellation and modification requests are not guaranteed.

Once production has begun, an order normally cannot be:

• Canceled.
• Changed.
• Returned.
• Exchanged.
• Converted to another size, product, format, frame, or design.

Customers must review the following before completing payment:

• Artwork.
• Product type.
• Size.
• Frame option.
• Color.
• Quantity.
• Recipient information.
• Shipping address.
• Billing information.
• Selected shipping method.

Nothing in this section limits a cancellation right that cannot lawfully be waived or restricted.

8. PRICES AND CURRENCIES

Product prices are displayed in the currency selected or assigned through the applicable Shopify Market.

The store may display or process transactions in currencies including:

• United States dollars (USD).
• Canadian dollars (CAD).

Currency conversion may be performed by Shopify, a payment processor, a card issuer, or another financial institution.

Converted prices may vary because of:

• Exchange-rate fluctuations.
• Rounding.
• Payment-provider calculations.
• Card-issuer conversion rates.
• Foreign transaction charges.

The final product price and currency presented at checkout will govern the transaction, subject to correction of an obvious pricing error.

Prices may change without notice. A price change will not normally affect an order already accepted, except in the case of an error or as required by law.

9. PRICING AND LISTING ERRORS

We may correct typographical errors, inaccurate prices, incorrect discounts, product descriptions, availability information, shipping charges, or other listing errors at any time.

When an obvious error affects an order, we may:

• Contact the customer for confirmation.
• Offer the correct terms.
• Cancel the affected order.
• Issue a full refund for amounts paid for the canceled item.

We are not required to fulfill an order at an obviously incorrect price when the error should reasonably have been apparent, subject to applicable law.

10. TAXES, DUTIES, AND IMPORT CHARGES

Applicable sales taxes and other transaction taxes may be calculated and collected at checkout.

International or cross-border orders may be subject to:

• Customs duties.
• Import taxes.
• Brokerage charges.
• Handling fees.
• Other governmental or carrier-imposed charges.

Unless checkout expressly states that such charges are included, the customer may be responsible for charges assessed by the destination country, customs authority, carrier, or other governmental entity.

Nova Creative Studio does not control independently assessed customs or import charges.

Customers are responsible for complying with the import requirements of their destination, except where applicable law assigns responsibility otherwise.

11. PAYMENT

Available payment methods are displayed at checkout and may include credit cards, digital wallets, PayPal, Shop Pay, or other approved payment services.

Payment information may be processed directly by Shopify Payments, PayPal, or other payment providers. We do not necessarily receive or store complete payment card details.

By submitting payment information, you represent that:

• The information is accurate.
• You are authorized to use the payment method.
• You authorize the applicable charges.
• You will pay all amounts properly due under the transaction.

An authorization or pending charge does not necessarily mean that an order has been finally accepted.

We may use fraud-prevention tools and request additional verification before processing an order.

12. PRODUCTION AND FULFILLMENT PARTNERS

Nova Creative Studio may use independent production, printing, framing, warehousing, and fulfillment partners, including Printful and other qualified providers.

These partners may perform functions such as:

• Printing.
• Framing.
• Product assembly.
• Quality control.
• Packaging.
• Warehousing.
• Shipping.
• Replacement production.

Products may ship directly from a production partner’s facility.

Different products from the same order may:

• Be produced at different facilities.
• Ship separately.
• Have different tracking numbers.
• Arrive on different dates.

Using a production or fulfillment partner does not transfer the customer’s purchase agreement to that partner. The customer’s order remains with Novapro Multi-Services LLC through Nova Creative Studio.

Production partners are not authorized to modify these Terms or make commitments on our behalf unless expressly stated.

13. SHIPPING AND DELIVERY

Shipping and delivery estimates are provided in good faith based on the information available at the time of purchase.

Estimated delivery dates are not guaranteed unless expressly identified as guaranteed.

Delivery timing may be affected by:

• Production requirements.
• Order volume.
• Product availability.
• Carrier operations.
• Customs processing.
• Weather.
• Natural disasters.
• Labor disruptions.
• Transportation interruptions.
• Incorrect address information.
• Events outside our reasonable control.

When we cannot ship within a promised or legally applicable period, we will provide any notice, cancellation option, consent request, or refund required by applicable law.

A temporary shipping delay does not automatically entitle a customer to compensation beyond the remedies required by law or expressly provided in our policies.

Additional shipping terms are contained in our Shipping Policy, which is incorporated into these Terms by reference.

14. SHIPPING ADDRESS

Customers are responsible for providing a complete and accurate shipping address.

Before placing an order, verify:

• Recipient name.
• Street address.
• Apartment, suite, or unit number.
• City.
• State, province, or region.
• Postal or ZIP code.
• Country.
• Telephone number, when requested.

We are not responsible, to the extent permitted by law, for delays, losses, returns, or additional expenses caused by inaccurate, incomplete, or outdated information supplied by the customer.

Address changes are not guaranteed after an order has entered production or fulfillment.

When an order must be reshipped because of a customer-supplied address error, additional production or shipping charges may apply.

15. LOST, DELAYED, OR UNDELIVERED ORDERS

Customers must notify Nova Creative Studio promptly when an order:

• Has not arrived by the latest estimated delivery date.
• Appears to be lost.
• Has stopped moving in carrier tracking.
• Is returned to the sender.
• Is otherwise undeliverable.

We may require the customer to:

• Confirm the shipping address.
• Contact the carrier.
• Check with household members.
• Check with neighbors.
• Check with building management or mailroom personnel.
• Contact the local postal facility.
• Provide a written statement or other reasonable documentation.

When the carrier confirms that an order was lost, we will review the circumstances and determine the appropriate remedy, which may include replacement or refund.

16. PACKAGES MARKED AS DELIVERED

A carrier’s delivered status does not automatically approve or deny a claim.

Customers should promptly check:

• The delivery location.
• Household members.
• Neighbors.
• Building personnel.
• Mailrooms.
• Parcel lockers.
• Security or reception desks.
• The applicable carrier.

Claims involving packages marked as delivered will be reviewed individually based on available carrier records, address information, delivery confirmation, photographs, location data, customer information, and applicable law.

A claim may be denied when the package was delivered to the address provided by the customer and there is insufficient evidence of carrier error, loss, or another covered event.

17. RETURNS, REFUNDS, DAMAGE, AND DEFECT CLAIMS

Our Return and Refund Policy governs:

• Final sales.
• Damage claims.
• Defect claims.
• Incorrect products.
• Materially misrepresented products.
• Required photographs and documentation.
• Unauthorized returns.
• Replacements and reprints.
• Partial or full refunds.
• Customer-caused damage.
• Fraudulent or abusive claims.

Damage, defect, incorrect-product, or material-misrepresentation claims must generally be submitted within seven (7) calendar days after delivery.

Submitting a claim does not automatically qualify the customer for a refund.

For an approved claim, a replacement or reprint will normally be the first remedy considered, subject to the circumstances and applicable law.

Nothing in these Terms eliminates a mandatory consumer right that cannot lawfully be waived or restricted.

18. PROMOTIONS, DISCOUNTS, AND GIFT CARDS

Promotions, discount codes, coupons, free-shipping offers, gift cards, and other incentives may be subject to separate conditions.

Unless expressly stated otherwise:

• Offers have no cash value.
• Discounts cannot be applied retroactively.
• Discounts may not be combined.
• Promotions may exclude certain products or regions.
• Minimum-purchase requirements may apply.
• Promotions may expire.
• Gift cards cannot be redeemed for cash except where required by law.
• Fraudulent, duplicated, manipulated, or unauthorized use is prohibited.

We may correct or cancel a promotion affected by an error, fraud, technical malfunction, or unauthorized distribution, subject to applicable law.

19. CUSTOMER ACCOUNTS

Certain features may permit or require a customer account.

You are responsible for:

• Maintaining the confidentiality of your credentials.
• Restricting access to your account.
• Providing accurate account information.
• Promptly updating outdated information.
• Notifying us of suspected unauthorized access.

You are responsible for activities conducted through your account to the extent permitted by law.

We may suspend or terminate an account used for fraud, abuse, unlawful conduct, security violations, or material breaches of these Terms.

20. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Site and its content are owned by, licensed to, or lawfully used by Novapro Multi-Services LLC.

Protected content may include:

• Artwork.
• Designs.
• Illustrations.
• Graphics.
• Photographs.
• Product mockups.
• Videos.
• Logos.
• Brand names.
• Product names.
• Text.
• Page layouts.
• Website code.
• Collections.
• Marketing materials.

The Nova Creative Studio name, visual identity, and related branding may not be used without prior written authorization.

Purchasing a physical product does not transfer copyright, trademark rights, reproduction rights, digital rights, or other intellectual property rights in the underlying artwork or design.

A purchaser may use and display the physical product for lawful personal or business décor purposes.

Unless authorized in writing, you may not:

• Copy or reproduce the artwork.
• Scan or digitize the artwork for commercial use.
• Create derivative commercial products.
• Manufacture copies.
• Upload the artwork to another print-on-demand platform.
• Sell digital copies.
• Use the artwork in advertising, merchandise, branding, or commercial media.
• Remove copyright or proprietary notices.
• Claim authorship or ownership of the artwork.

Any lawful rights relating to the resale of a particular physical item remain unaffected.

21. LIMITED LICENSE TO USE THE SITE

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful personal shopping and informational purposes.

This license does not permit:

• Commercial exploitation of the Site.
• Unauthorized resale activity.
• Automated scraping.
• Systematic extraction of data.
• Copying product listings.
• Reverse engineering.
• Circumvention of security controls.
• Unauthorized use of trademarks or content.
• Interference with Site functionality.

All rights not expressly granted are reserved.

22. USER CONTENT, REVIEWS, AND SUBMISSIONS

You may have the opportunity to submit reviews, photographs, comments, suggestions, messages, or other content.

You represent that submitted content:

• Is accurate and based on genuine experience.
• Does not infringe another person’s rights.
• Is not fraudulent, misleading, defamatory, threatening, obscene, or unlawful.
• Does not contain malicious code.
• Does not disclose another person’s private information without permission.
• Does not falsely impersonate another person.
• Complies with applicable review and advertising laws.

By voluntarily submitting content for public display, you grant Novapro Multi-Services LLC a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, translate, distribute, and use that content for operating, promoting, and improving Nova Creative Studio, subject to applicable privacy law.

You retain ownership of your original content.

We may moderate or remove content that violates these Terms, but we are not obligated to publish or retain every submission.

We do not purchase, fabricate, or knowingly solicit false reviews.

23. PROHIBITED CONDUCT

You must not use the Site or services to:

• Violate any law or regulation.
• Commit fraud.
• Place orders using unauthorized payment information.
• Infringe intellectual property rights.
• Transmit malicious code.
• Attempt unauthorized access.
• Interfere with Site security or performance.
• Harvest personal information.
• Scrape or systematically extract Site content.
• Use bots to manipulate purchases, inventory, promotions, reviews, or traffic.
• Submit false claims or documentation.
• Harass customers, personnel, contractors, or service providers.
• Impersonate another person.
• Circumvent product limits or fraud controls.
• Use our products or content for unlawful or infringing purposes.
• Resell or distribute our designs without authorization.

Violations may result in cancellation, account restriction, termination, refusal of service, or referral to the appropriate service provider or authority.

24. THIRD-PARTY TOOLS, SERVICES, AND LINKS

The Site may contain third-party tools, integrations, applications, payment services, social-media features, or links.

Third-party services may be provided under separate terms and privacy policies.

We do not control and are not responsible for the independent content, security, availability, accuracy, practices, or policies of unaffiliated third parties.

A link or integration does not necessarily constitute endorsement.

You should review applicable third-party terms before using those services.

25. PRIVACY AND COOKIES

Our collection, use, retention, disclosure, and protection of personal information are governed by our Privacy Policy.

Our use of cookies and similar technologies is governed by our Privacy Policy, cookie settings, and applicable consent tools.

By using the Site, you acknowledge that information may be processed by Shopify and other authorized service providers as described in the applicable privacy disclosures.

Privacy Policy, Cookie Preferences, and Your Privacy Choices links may be provided through the Site footer or privacy interface.

26. ELECTRONIC COMMUNICATIONS

By using the Site or contacting us electronically, you consent to receiving transactional communications electronically, including:

• Order confirmations.
• Payment notices.
• Production updates.
• Shipping notifications.
• Customer-service messages.
• Policy notices.
• Legally required electronic communications.

Marketing communications are subject to applicable consent requirements and unsubscribe rights.

Consent to receive marketing is not a condition of purchase unless expressly permitted by law.

27. WEBSITE AVAILABILITY

We aim to keep the Site available and functional, but continuous or error-free access is not guaranteed.

• Every defect will be immediately corrected.
• Every feature will remain available.

Product remedies are governed by the product description, our Return and Refund Policy, applicable express warranties, and mandatory law.

Nothing in these Terms excludes an implied warranty, statutory guarantee, or consumer protection that cannot lawfully be excluded.

29. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Novapro Multi-Services LLC and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the use of the Site or a transaction.

For a claim arising from a particular order, our aggregate liability will not exceed the amount paid for the affected product or order, except where applicable law prohibits that limitation.

These limitations do not apply to liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, or other legally non-excludable conduct.

Some jurisdictions do not permit certain warranty exclusions or liability limitations. In those jurisdictions, the limitations apply only to the maximum extent permitted.

30. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Novapro Multi-Services LLC from third-party claims, liabilities, damages, and reasonable expenses arising from:

• Your unlawful use of the Site.
• Your material breach of these Terms.
• Your infringement of another person’s rights.
• Content you submit.
• Fraudulent activity conducted through your account.

This provision does not require a consumer to indemnify us for our own negligence, misconduct, or legal responsibility.

31. EVENTS OUTSIDE REASONABLE CONTROL

We are not responsible for delay or failure caused by events outside our reasonable control, including:

• Natural disasters.
• Severe weather.
• Fire.
• Flood.
• War.
• Terrorism.
• Civil disturbance.
• Labor disruption.
• Carrier interruption.
• Government action.
• Customs delay.
• Utility failure.
• Internet failure.
• Cyberattack.
• Epidemic or public-health emergency.
• Production-facility interruption.
• Material shortage.

This section does not remove any cancellation, notice, or refund right required by applicable law.

32. SUSPENSION AND TERMINATION

We may suspend access, cancel an order, restrict future purchases, or terminate an account when reasonably necessary because of:

• Fraud.
• Abuse.
• Threats or harassment.
• Unauthorized payment activity.
• Repeated false claims.
• Security concerns.
• Unlawful activity.
• Material violation of these Terms.

Termination does not eliminate obligations or rights that arose before termination.

Provisions concerning payment, intellectual property, liability, dispute resolution, and other provisions intended to survive will remain effective.

33. GOVERNING LAW AND DISPUTES

These Terms and transactions with Nova Creative Studio are governed by the laws of the State of Florida and applicable United States federal law, without regard to conflict-of-law principles.

Subject to any mandatory consumer right concerning jurisdiction or venue, disputes may be brought in the state or federal courts located in Broward County, Florida.

Before filing a formal claim, the parties are encouraged to make a good-faith effort to resolve the matter through written communication.

Nothing in this section prevents a consumer from using:

• A legally available chargeback or payment dispute process.
• A government consumer-protection process.
• A small-claims procedure.
• A court or forum that mandatory law permits the consumer to use.

Nothing in these Terms deprives a customer of protections that cannot lawfully be waived under the laws applicable to the transaction.

34. CHANGES TO THESE TERMS

We may update these Terms to reflect:

• Changes in law.
• Changes in our products or operations.
• New services or functionality.
• Security requirements.
• Changes in production or fulfillment.
• Clarifications or corrections.

The revised Terms will display a new “Last updated” date.

Unless applicable law requires otherwise, material changes will apply prospectively after publication.

An order will generally remain governed by the version of the Terms in effect when that order was placed.

35. SEVERABILITY

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be enforced to the maximum lawful extent or severed when necessary.

The remaining provisions will continue in effect.

36. NO WAIVER

Failure to enforce a provision does not waive the right to enforce it later.

A waiver is effective only when made expressly and in writing by an authorized representative of Novapro Multi-Services LLC.

37. ASSIGNMENT

You may not assign your rights or obligations under these Terms without our written consent.

We may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, transfer of the Nova Creative Studio business, or sale of relevant assets, subject to applicable law.

38. ENTIRE AGREEMENT

These Terms, together with the policies incorporated by reference, constitute the agreement governing your use of the Site and purchases.

Incorporated policies include, as applicable:

• Return and Refund Policy.
• Privacy Policy.
• Shipping Policy.
• Cookie and privacy settings.
• Additional product-specific or promotional terms.

If a product-specific written term directly conflicts with a general provision, the more specific term will govern that issue, subject to applicable law.

39. LANGUAGE

These Terms may be made available in English, Spanish, and French.

Each translation is intended to communicate substantially the same terms.

When a discrepancy exists, the version required or recognized by mandatory applicable law will control. In other cases, the English version will control to the extent permitted by law.
